In 2018, when former President Trump was in office, the corporate tax rate dropped precipitously from 35% to 21%, and companies celebrated. President Biden had promised early on to raise it back up, but that has proven to be a tough sell, and it still has not occurred. In the administration’s most recent budget, it was slated to be 28%. And in a recent statement, the Harris campaign has proposed raising the corporate tax rate to 28% , restating President Biden’s proposal.

The dollars are big. Some at the Committee for a Responsible Federal Budget say Harris’ proposed rate hike could reduce the U.S. deficit by over $1 trillion in a decade. The Congressional Budget Office projected that 1 percentage point increases in the corporate rate corresponds to about $100 billion over a decade.

In addition to a 28% corporate tax rate, Vice President Harris has proposed ending foreign tax shelters by taxing offshore corporate income at the same rate as domestic income. These plans would likely find resistance in Congress, but they indicate a stark difference between the parties. But how would it impact small business, and the choices that new businesses need to make?

For many years, when an individual outgrew a proprietorship, a corporation used to be the norm. But in more recent decades, the single level of tax you get with limited liability companies (LLCs) became popular for small business. But since 2018, the 21% rate for corporation triggered a second look at these issues. A 21% vs. 28% rate is likely to invite closer questions. And if you have a corporation—one you formed or inherited—should it be S or C?

All corporations are C corporations (under subchapter “C” of the tax code) unless they file for S corporation status . If you take no action, your corporation is a C corporation. Whether S or C, a corporation is entitled to limited liability. It's traditionally one reason businesses incorporate. It is also a structure people understand. A separate legal entity, it is owned by shareholders, ruled by a board of directors who elect officers to do day to day management.

But C vs. S status is all about taxes. File a one page S election with the IRS and it is taxed almost like a partnership or LLC. A corporation may be taxed as a C corporation for many years and then change to S status. Alternatively, by filing the S election upon initial formation, it will never be a C corporation. That way, it does not need to worry about the built in gain tax on conversion from C to S.

Income from a C corporation is taxed twice. The corporation pays tax on its net income—currently at 21%. Then, shareholders also pay tax on distributions. Income from an S corporation is taxed once at the shareholder level, mostly like an LLC or partnership. An S corporation can have no more than 100 shareholders, only U.S. citizens and resident aliens, generally individual shareholders, and a calendar fiscal year. If there are multiple classes of stock, only differences in voting rights are allowed. For most small businesses, these criteria are easy to meet.

If the owners are more comfortable with the corporate form than an LLC, an S corporation can be a good choice. However, the accounting rules for S corporations are complicated, and it is hard for existing C corporations to convert. An S corporation can face corporate tax if it was previously a C corporation and elected S status within the last 5 years (this is the built-in gain tax noted above). Many of these rules can be avoided if you start out with an S corporation. To do this, file your S election within 75 days of forming your corporation.

How do you weigh the pluses and minuses on your facts? Often, C corporations are not the best choice for small businesses. The main reason is the double tax on income and on proceeds of sale. Besides, if you incur losses, you want to claim them personally, favoring an LLC or S corporation. But a big reason for many small businesses like C corporations is the $10M qualified small business stock break some can get. In 2021, it looked like it might be repealed or changed significantly. But it’s still on the books, and can be a good reason to form a C corporation, even at a 28% rate.

Besides, with the wisdom of Silicon Valley, some startups are LLCs at the start so founders can get tax losses, and then flip to C corporation status if they have a shot at the QSBS exclusion. Big and small business will be watching the rate discussions, no matter what.

Sicily yacht sinking: Body of British tech entrepreneur Mike Lynch found on yacht wreck

The body of British tech entrepreneur Mike Lynch has been found in the yacht which sank off Sicily on August 21. Two corpses were brought ashore from the luxury yacht that sank off the coast of Sicily. The body of his daughter Hannah was also found in the yacht. Mike Lynch went missing on August 19 after a luxury yacht was struck by a violent storm and sank off the Sicilian capital, Palermo. The boat was carrying 22 passengers and crew and was anchored off the port of Porticello when it capsized during a fierce storm. Lynch, 59, was acquitted in June by a jury in San Francisco of fraud charges linked to the 2011 sale of his software company, Autonomy, to Hewlett-Packard for $11 billion.

Pinch-hitter Jason Heyward delivers 3-run homer in 8th as Dodgers rally to beat Mariners 6-3

LOS ANGELES -- - Pinch-hitter Jason Heyward broke an eighth-inning tie with a three-run homer and the Los Angeles Dodgers rallied for a 6-3 victory over the reeling Seattle Mariners on Tuesday night.

Heyward lined a high 99 mph fastball from All-Star closer Andrés Muñoz (2-5) over the short wall in the right-field corner to give the Dodgers their first lead. It was his second pinch-hit homer this season and the third of his career.

"It's hard to get runners on base against a closer and hard to make things happen like that late in the game. It's nice to be part of the reward for our group," Heyward said. "Nice swing at the first pitch - he wanted to get ahead. Nice couple takes and nice job of being ready for another one somewhere near the zone to put a good swing on it."

Will Smith got aboard with one out when he was hit by a pitch, and Max Muncy walked. Tommy Edman then struck out looking to set the stage for Heyward.

"He was ready when called upon and came away with a huge hit. That for me was one of the highlights of the season," Dodgers manager Dave Roberts said of Heyward's home run.

Muncy and Gavin Lux both homered for the second consecutive game. The NL West-leading Dodgers, who have the best record in the majors at 75-52, have won three straight and four of five.

Joe Kelly (1-0) pitched a scoreless eighth to get the win and Daniel Hudson retired the side in the ninth for his 10th save.

Jorge Polanco had two hits and drove in three runs, but the Mariners have dropped the first two games of the series and seven of eight on their current road trip.

"Came down to be a bullpen game and theirs was better than ours," manager Scott Servais said. "The opportunities were there. We didn't quite get enough."

Mookie Betts tied it at 3 with two outs in the seventh on an RBI double down the left-field line off Muñoz, who entered with a 1.35 ERA. Betts tried to give the Dodgers the lead on Teoscar Hernández's single, but was thrown out at home by right fielder Mitch Haniger as he tried to score from second.

Bryce Miller 's scoreless streak ended at 16 innings when Lux led off the fourth with a homer that narrowly eluded the glove of Mariners center fielder Victor Robles .

Seven of Lux's 10 homers have come since the All-Star break.

Later in the inning, Muncy connected on a high fastball and drove it into the Mariners' bullpen in right field to get the Dodgers within a run.

The third baseman has homered in both his games since he came off the injured list Monday. Muncy had been out since May 17 with an oblique strain.

Both of Polanco's hits off Walker Buehler came on 1-2 counts. With the bases loaded and two outs in the first, Polanco lined a sinker into right field for a two-run single.

Polanco extended the lead to 3-0 in the third with an RBI double to left-center.

Buehler - who gave up three runs and seven hits in four innings - has allowed seven runs (six earned) in 7 1/3 innings in two starts since coming off the injured list. The two-time All-Star was sidelined nearly two months because of right hip inflammation.

The 30-year-old right-hander is 1-4 with a 6.09 ERA in 10 starts this season.

"Made a couple bad pitches. Polanco got me a couple times. I'm so tired of saying that I feel closer, but I think this is as close as I've felt to me of old as I have this year," Buehler said. "I didn't throw the ball well and our team got us back in the game."

Mariners: Haniger returned to the lineup after missing two games because of a quad injury.

Dodgers: RHP Yoshinobu Yamamoto (triceps tightness) will throw a two-inning simulated game on Wednesday. ... RHP Blake Treinen (right hip discomfort) could be activated Wednesday, depending on available depth in the bullpen.

Mariners: RHP Logan Gilbert (7-9, 2.96 ERA) leads the AL in quality starts with 20.

Dodgers: RHP Jack Flaherty (9-5, 3.06) is 2-0 since being acquired from Detroit on July 30.
